  • A culture that we are excited to be a part of. Culture is the foundation of the business and something we want to continue to foster
  • Products or services with a clear competitive advantage

An opportunity to add value

  • A business with untapped opportunities for growth that would benefit from our experience in marketing, product development or process optimization
  • Businesses in industries we know well: Differentiated B2B tech-enabled product or service businesses,  mission-critical B2B product and component manufacturers and healthcare services businesses

A history of profitability

  • Stable/growing EBITDA of $2-10M
  • At least 3 consecutive years of profitability and 15%+  EBITDA margins

An owner that's looking for a change

  • A founder looking to sell a majority stake in the business and partner with us to achieve the next stage of growth or
  • An owner that is ready to exit the business and wants to sell to someone that will protect their legacy

OUR PROCESS

Introducing ourselves - 30 minutes

  • Initial call to get to know each other, learn more about your business and see if there is a mutual fit (30 minutes)

NDA and Initial Valuation - 48 hours

  • Sign confidentiality agreement
  • Review basic financial information
  • Discuss preliminary valuation and potential structure

Exploring the opportunity together & Letter of Intent (LOI) - 2-3 weeks

  • We will use the next few weeks to work with you to build a growth and transition plan that meets your personal and financial goals and sets the company on a path for continued growth
  • We will also use this time to get to know each other and discuss joint objectives to ensure alignment. We're not a private equity firm that has to do things a certain way.  If you want to retain a steady income stream through a seller note or continue to participate in the upside of the business by retaining some equity, we're flexible.
  • This stage will culminate in the delivery of a Letter of Intent (LOI) where we align on the price and terms of our deal

Due Diligence & Preparing to transition 60-90 days

  • We will go to work on due diligence, verifying business details and financials through a Quality of Earnings (QoE).
  • This is an important time to plan a smooth handoff to ensure a bright future
  • Once we've completed confirmatory diligence and finalized the transaction agreement, we will deliver a final purchase agreement

Close Deal and Transition to Echo Point

  • Sign the final purchase agreement, wire funds to your account and celebrate together!
  • Transition day-to-day leadership responsibilities
  • Echo Point will work with your employees to continue growing the business you've built
